IMPORTANT NOTICE

These Terms and Conditions ("Terms") govern your use of all websites operated by Servcorp Limited (ABN 97 089 222 506) and its affiliates across all regional domains listed in Schedule 1 to these Terms. By accessing or using any Servcorp website, you agree to be bound by these Terms. If you do not agree, you must not use our websites.

Part A — Introduction and Definitions

1. About Servcorp

Servcorp Limited (ABN 97 089 222 506) is the head entity of a global group of companies that provides premium serviced office, virtual office, coworking, and workspace solutions (collectively, "Servcorp", "we", "us", "our"). Servcorp operates 19 regional websites (listed in Schedule 1) through its network of regional affiliates.

Each regional website listed in Schedule 1 is operated by the relevant Servcorp regional affiliate for that jurisdiction (each, a "Regional Affiliate"). The applicable Regional Affiliate is the entity you are contracting with when you use a regional website. A list of Regional Affiliates and their corresponding websites is set out in Schedule 1.

References to "Servcorp", "we", "us", and "our" in these Terms mean Servcorp Limited (ABN 97 089 222 506) and/or the relevant Regional Affiliate operating the website you are using, as the context requires. Servcorp Limited (ABN 97 089 222 506) remains responsible for these Terms as the head entity of the group.

2. Acceptance of These Terms

By accessing, browsing, or using any Servcorp website (each, the "Website" or "Site"), you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy, all of which are incorporated into these Terms by reference.

If you are using the Website on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and your agreement on behalf of that organisation constitutes their acceptance of these Terms.

We reserve the right to modify these Terms at any time. Modifications take effect when posted on the relevant Website. Your continued use of the Website after any modification constitutes your acceptance of the updated Terms. We will use reasonable endeavours to highlight material changes.

3. Definitions

In these Terms, unless the context requires otherwise:

"Content" means all text, images, graphics, logos, trademarks, data, software, video, audio, and other material on or accessible through the Website.

"Intellectual Property Rights" means all copyright, trademark rights, design rights, patent rights, database rights, and all other intellectual and industrial property rights, whether registered or unregistered, in any jurisdiction.

"Privacy Policy" means Servcorp's global Privacy Policy, available at the /en/privacy/ path on each regional Website, as updated from time to time.

"User Content" means any material, information, or content that you upload, post, transmit, or otherwise make available through the Website, including enquiry forms, comments, and feedback.

"Website" means any website operated by Servcorp or its affiliates at the domains listed in Schedule 1, including all pages, sub-domains, and microsites associated with those domains.

"You" / "User" means any natural or legal person who accesses or uses the Website, whether or not as a registered user or client of Servcorp.

 

Part B — Use of the Website

4. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website for your own personal or internal business purposes.

Permitted uses include: viewing and downloading Content for personal or internal business reference; submitting enquiry forms or using contact features; and accessing information about Servcorp's products and services.

5. Prohibited Conduct

You must not use the Website in any way that:

• violates any applicable law, regulation, or these Terms;
• infringes the Intellectual Property Rights, privacy rights, or other rights of any person;
• involves transmitting unsolicited commercial communications (spam);
• involves the use of automated scripts, bots, crawlers, scrapers, or data mining tools to access, extract, or index content from the Website without our prior written consent;
• involves attempting to gain unauthorised access to any part of the Website, its servers, systems, or networks;
• involves uploading or transmitting viruses, malware, ransomware, or other malicious code;
• involves impersonating any person or entity, or misrepresenting your affiliation with any person or entity;
• interferes with or disrupts the integrity or performance of the Website or any services connected to it;
• involves collecting, harvesting, or storing personal information about other users without their consent;
• is harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
• facilitates or encourages any of the above.

 

We reserve the right to terminate or suspend your access to the Website without notice if we reasonably believe you have breached this clause.

6. Intellectual Property

The Website and all Content are owned by or licensed to Servcorp and are protected by Intellectual Property Rights including copyright, trademarks, and database rights. All rights not expressly granted to you in these Terms are reserved.

The Servcorp name, logo, and all related names, logos, product names, design marks, and slogans are trademarks of Servcorp Limited or its affiliates. You must not use these marks without our prior written consent.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content, except:

• your computer may temporarily store copies of Content in RAM incidental to your accessing and viewing that Content;
• you may store files that are automatically cached by your web browser for display enhancement purposes;
• you may print or download one copy of a reasonable number of pages of the Website for your own personal, non-commercial use, provided you do not modify the copies and maintain any copyright or other proprietary notices.

 

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of these Terms, your right to use the Website will cease immediately.

7. Privacy

Our collection, use, disclosure, and handling of personal information obtained through or in connection with the Website is governed by our Privacy Policy, available at the /en/privacy/ path on each regional Website.

By using the Website and providing us with personal information, you consent to our collection, use, and disclosure of your personal information in accordance with the Privacy Policy. If you do not agree with our Privacy Policy, please do not provide us with personal information.

Our Privacy Policy includes information about how we collect, store, and process personal data in compliance with applicable data protection laws, including the Australian Privacy Act 1988 (Cth) and, where applicable to users in the European Economic Area and United Kingdom, the General Data Protection Regulation (GDPR) and UK GDPR.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SERVCORP, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY TO YOU IN CONNECTION WITH THE WEBSITE AND THESE TERMS, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR OTHERWISE, WILL NOT EXCEED AUD $100 (OR THE EQUIVALENT IN LOCAL CURRENCY) IN AGGREGATE.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD OR FRAUDULENT MISREPRESENTATION, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

Where the Competition and Consumer Act 2010 (Cth) or other applicable law implies a guarantee, condition, or warranty that cannot be excluded, our liability for failure to comply with that guarantee, condition, or warranty is limited (at our election) to: (a) in the case of goods, the replacement or repair of the goods or the cost of replacement or repair; or (b) in the case of services, the resupply of the services or the cost of resupply.

13. Indemnity

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Servcorp and its affiliates, directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• your use or misuse of the Website;
• your breach of these Terms;
• your violation of any applicable law, regulation, or third-party right;
• any User Content you submit, post, or transmit through the Website;
• any dispute between you and any third party.

This indemnity obligation survives termination or expiry of these Terms and your cessation of use of the Website.

14. User Content

By submitting User Content to the Website, you grant Servcorp a non-exclusive, worldwide, royalty-free, irrevocable licence to use, reproduce, modify, adapt, publish, translate, and display such User Content for the purposes of operating, improving, and promoting the Website and our services.

You represent and warrant that: (a) you own or have the necessary rights to submit the User Content; (b) the User Content does not infringe any third-party rights; and (c) the User Content does not contain any material that is false, misleading, defamatory, unlawful, or otherwise objectionable.

We reserve the right (but have no obligation) to review, edit, refuse, or remove any User Content at our sole discretion, without notice.

15. Website Availability

We do not guarantee that the Website, or any Content on it, will always be available or uninterrupted. We may suspend, withdraw, or restrict the availability of all or any part of the Website for business, operational, or maintenance reasons, without notice.

We will not be liable to you if for any reason the Website is unavailable at any time or for any period.

16. Changes to the Website

We may update and change the Website from time to time, including to reflect changes to our products, services, or applicable laws. We will try to give reasonable notice of major changes, but we are not obliged to do so.
